1. Acceptance of Terms

By accessing or using the digital marketing services provided by Stellar Graphikx, you agree to be bound by these Terms of Service. If you do not agree to all terms and conditions, you may not access or use our services.

2. Description of Services

Stellar Graphikx offers digital marketing services including, but not limited to, Search Engine Optimization (SEO), paid ads management, social media management, content creation, web design and development support, analytics reporting, and digital marketing consulting.

3. Client Responsibilities

Timely provision of required platform access, credentials, and digital assets.
Prompt review and approval of deliverables within mutually agreed timeframes.
Ensuring that all provided content, imagery, and information do not infringe upon any third-party intellectual property rights.

4. Payment Terms

All fees for services must be paid in full according to the schedule outlined in your specific service agreement or Statement of Work. Late payments exceeding 15 days may incur additional charges or result in a temporary suspension of services until the account is brought current.

5. Term and Termination

This agreement begins upon the formal commencement of services. Either party may terminate the agreement with a 30-day written notice, subject to the fulfillment of all outstanding payment obligations for work already performed or currently in progress.

6. Intellectual Property

All deliverables, visual designs, code, and marketing assets created by Stellar Graphikx remain our intellectual property until full payment is received. Upon final payment, usage rights and ownership of the finalized deliverables are transferred to the client, excluding any pre-existing proprietary tools or frameworks.

7. Confidentiality

Both parties agree to maintain the strict confidentiality of any proprietary information, trade secrets, business strategies, and client data shared during the course of the business relationship.

8. Warranties and Representations

We provide our services on an "as is" and "as available" basis without any warranties, express or implied, regarding the specific performance outcomes, traffic metrics, or conversion rates of marketing campaigns.

9. Limitation of Liability

In no event shall Stellar Graphikx be liable for any indirect, incidental, punitive, or consequential damages arising out of or in connection with our services, platform downtime, or these Terms.

10. Indemnification

You agree to indemnify, defend, and hold Stellar Graphikx harmless from any claims, losses, or damages resulting from your breach of these Terms, misuse of our services, or any intellectual property infringement caused by materials you provided.

11. Third-Party Services

Our services may utilize third-party platforms (e.g., Google Ads, Meta, LinkedIn). We are not responsible for the policies, algorithm changes, account suspensions, or disruptions caused by these external entities.

12. Modifications to Services

We reserve the right to modify, suspend, or discontinue any part of our services or amend these Terms of Service at any time. Active clients will be provided with reasonable notice prior to any material changes.

13. Governing Law

These Terms shall be governed by and construed in accordance with the applicable laws of the jurisdiction in which Stellar Graphikx primarily operates, without regard to its conflict of law provisions.
